Royalty-Free Image License Agreement

THE FOLLOWING IS A LEGAL AGREEMENT BETWEEN YOU AND VIVID DETAILS, INC. ("Vivid Details"). READ THIS AGREEMENT BEFORE YOU DOWNLOAD OR USE ANY VIVID DETAILS IMAGE. BY PURCHASING AND/OR USING ANY VIVID DETAILS IMAGE YOU AGREE TO BE BOUND BY THIS AGREEMENT.

Grant of License
All rights to the Image are owned by Vivid Details and are protected by United States copyright laws, international treaty provisions and other applicable laws. All rights not specifically granted to you by this Agreement are reserved. The Image may not be sublicensed, leased, resold, rented, loaned, shared, copied, or given to others individuals or entities, and may not be made available to others through distribution, electronic distribution, or by downloading from the internet. In addition, you must take all reasonable steps to prevent third parties from using, obtaining, copying, or distributing the Image.

Vivid Details grants you a nonexclusive, nontransferable right to use and reproduce the Image in the following ways:

The Image may be used on a worldwide and perpetual basis and reproduced in print as a part of: ADVERTISING, MARKETING, PROMOTIONAL MATERIALS, DISPOSABLE PACKAGING, and PUBLICATIONS, as well as PERSONAL, NONCOMMERCIAL USE. Allowable electronic reproduction includes: MULTIMEDIA, INTERNET WEBPAGES, and BROADCAST, provided that the Image is reproduced at screen resolution (not to exceed 640 x 480 pixels) and is clearly not intended to be downloaded or copied.

Your clients may be provided with copies of the Image only as part of work you produced on behalf of them, but you may not provided them with the Image to be used separately in any other way.

Pornographic, defamatory, libelous or otherwise unlawful use of an Image is prohibited.

You agree to indemnify and hold Vivid Details harmless against any damages or liability of any kind arising from any use of the Image other than the uses specifically permitted by this Agreement.

Warranty
Vivid Details warrants the digital copy of the Image to be free from defects in material and workmanship for 30 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the Image or a refund of the purchase price, at Vivid Details' option.

VIVID DETAILS MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Some states do not permit the exclusion of implied warranties, and you may have other rights which may vary from state to state. NEITHER VIVID DETAILS NOR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, LICENSORS, OR AGENTS SHALL BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL, ARISING OUT OF THE USE OF, OR THE INABILITY TO USE, THE IMAGE.

General
Use of the Image must be in compliance with all applicable law, including, but not limited to, laws and regulations relating to currency and the law of moral rights. Vivid Details reserves the right to discontinue the use of any Image for any reason and elect to replace the Image with an alternate Image. Upon notice of any discontinuance of a license for a particular Image, you, your employer and your client, if applicable, agree not to use the Image in the future.
